Yazi Enterprises LLC — Terms of Service

1. Acceptance of Terms
By accessing or using yaziproperties.com (the "Site"), operated by Yazi Enterprises LLC, a Wyoming limited liability company ("Company," "we," "us," "our"), with a mailing address of 30 N Gould St STE R, Sheridan, WY 82801, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site.
2. Description of Services
The Site allows users to submit inquiries regarding the potential sale of vacant land to the Company ("Sellers"), and allows home builders and land acquisition professionals to submit land-buying criteria ("Builders"). Submitting information through the Site does not create any binding obligation on either party to complete a transaction, and does not create any agency, partnership, joint venture, or fiduciary relationship between you and the Company.
3. No Guarantee of Offer, Purchase, or Match
Submitting property information does not guarantee that you will receive an offer, or that any offer will result in a completed purchase. Submitting buying criteria as a Builder does not guarantee that the Company will locate, deliver, or refer any matching property. All offers and referrals are made at the Company's sole discretion, are subject to the Company's own independent due diligence (including title review), and are non-binding until a separate written purchase agreement is signed by both parties.
4. Accuracy of Information; Your Representations
You represent and warrant that all information you submit through the Site is accurate, current, and that you have the legal right and authority to provide it (including, for Sellers, that you are an owner of the property or are authorized to act on the owner's behalf). The Company relies on this information, together with independent research, to generate offers, and is not responsible for errors resulting from inaccurate or incomplete information you provide.
5. No Professional Advice
Nothing on the Site constitutes legal, tax, financial, or real estate advice. You are solely responsible for obtaining your own independent legal, tax, or financial advice before entering into any transaction with the Company.
6. SMS/Text Communications
By opting in via the Site's forms, you consent to receive marketing and/or non-marketing text messages from Yazi Enterprises LLC at the phone number provided, as described at the point of consent. Message and data rates may apply. Message frequency varies. Reply STOP to opt out at any time, or HELP for assistance. Consent to receive texts is not a condition of any purchase, sale, or transaction with the Company.
7. Intellectual Property
All content on the Site — including text, graphics, logos, and design elements — is the property of Yazi Enterprises LLC or its licensors, and may not be copied, reproduced, distributed, or used to create derivative works without the Company's prior written permission.
8. Disclaimer of Warranties
THE SITE AND ALL CONTENT, OFFERS, AND INFORMATION PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OWNERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY TRANSACTION CONTEMPLATED BY IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its owners, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) information you submit that is false, misleading, or that you were not authorized to provide; or (c) your violation of these Terms or of any applicable law.
11. Dispute Resolution — Binding Arbitration & Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any transaction with the Company shall be resolved by binding individual arbitration administered under the rules of the American Arbitration Association, seated in Sheridan, Wyoming. You and the Company each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding. Nothing in this section prevents either party from bringing an individual claim in small claims court where permitted.
12. Governing Law & Venue
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles. To the extent any matter is not subject to arbitration under Section 11, the state and federal courts located in Sheridan County, Wyoming shall have exclusive jurisdiction and venue.
13. Severability
If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
14. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Site, and supersede any prior agreements or understandings.
15. Changes to These Terms
The Company may update these Terms at any time by posting the revised version on the Site, with an updated "Last updated" date. Continued use of the Site after changes constitutes your acceptance of the updated Terms.
